Bharti Airtel completes £1.9bn internal deal, lifts stake in Airtel Africa to nearly 80%

Bharti Airtel has completed a major internal restructuring move that strengthens its control over its African operations after acquiring a 16.31% stake in Airtel Africa from Indian Continent Investment Limited (ICIL).

The transaction, finalised on June 22, 2026, was valued at about £1.9 billion and executed through a share swap deal in which Bharti Airtel issued 146.76 million new shares in exchange for 595.2 million Airtel Africa shares. The deal increases Bharti Airtel’s ownership in Airtel Africa from roughly 62.7% to around 79%.

Rather than bringing in new investors or fresh capital, the structure simply shifts ownership from a promoter-linked entity to the parent company itself. This gives Bharti Airtel deeper economic exposure to one of its fastest-growing markets while simplifying its corporate structure.

Airtel Africa has become a key growth driver for the group, supported by rising smartphone adoption, expanding mobile broadband usage, and strong growth in Airtel Money services across multiple African markets. Analysts say the consolidation could also improve investor confidence by creating a cleaner ownership model and clearer earnings visibility.

The transaction had already been approved in stages, with Bharti Airtel’s board signing off in May 2026 and shareholders giving overwhelming approval in June before final completion later that month.

The move reflects Bharti Airtel’s long-term strategy in Africa, which began with its $10.7 billion acquisition of Zain’s African operations in 2010 and later evolved into the creation and listing of Airtel Africa in 2019. The latest deal signals a shift from expansion to tighter consolidation of existing international assets.
